For auction business branch carrying out the activity of production, processing of various types of footwear, slippers, shoes, and sandals.

The company up for auction has as its corporate purpose the production, processing, and trade in all its forms, retail and wholesale, also abroad, the import and export, of various types of footwear, slippers, shoes, and sandals, parts of them, leather and leather articles, hides for the production of footwear and related accessories, all both on behalf of third parties, with supplies of own materials and based on own designs and models. It can carry out any other activity connected and related to the corporate purpose and perform any other operation deemed necessary and useful for the achievement of the corporate purpose.

The business branch includes material and immaterial assets, as better described in the appraisal drawn up by Dr. Monica Muserle, available for consultation upon subscription of a specific confidentiality agreement attached to the auction sheet.

Considering that credits and current activities of the company are not subject to transfer, for the determination of the overall value of the company, the estimated values of the individual assets have been considered:
• industrial property in Oppeano (VR), Via Quaiotto 71 (Sheet 53, parcel 491, subaltern 1, cadastral category D/1 with a rental value of 14,476.), as per the appraisal of € 950,000 by Geometer Bussi;
• movable property, equipment, and inventories as per the appraisal by Geometer Bussi, net of claims accepted for the assets referred to in refs. 9, 10, 11, 12, 19, 21, 22, 23, 26, 28, 32, 33, 34, 35, 36, 37, 38, 39, 40, 45, 46, 287, 301, as better specified in the appraisal;
• registered trademarks Florence and Robert for € 31,600.00 as per the appraisal by Dr. Monica Muserle, in addition to the Melegance trademark without value as it was never used, as per the list of data in the appraisal.

A part of the movable assets, as indicated in the appraisal by Geometer Bussi, are located in an industrial shed owned by third parties adjacent to the one owned by the Judicial Liquidation. The lease contract, starting from 20.01.1999 and expiring on 28.12.2028, is not subject to transfer.

The successful bidder will therefore be required to remove the movable assets present there within 10 working days from the transfer of the business branch.

The credits and debts related to the company are not subject to transfer and, therefore, are excluded from this evaluation.
