Transfer of a company operating in the natural gas sector up for auction in Nerviano/Bareggio (MI)

INVITATION TO OFFER pursuant to art. 91 CCII

By decree dated 24.6.2024, the Milan Court declared the opening of the preventive arrangement procedure of Metano Impianti s.r.l. - VAT number 05994180155 - with registered office in Nerviano (MI), whose arrangement plan includes an irrevocable offer from a tenant and the sale of the business branch related to the design and manufacture of equipment and plants for the filtration and separation, heating, reduction, and measurement of natural gas.
The irrevocable proposal attached to the arrangement plan provides for the purchase of the business branch, including all its material and immaterial components, as well as the transfer of employment relationships (currently 5), for a price composed of a fixed share of €420,000 and a variable share linked to new orders completed and/or acquired during the lease period (as of 11.04.2024, quantified at approximately €94,000 and subject to further increases in case of new orders acquired within 6 months after the assignment); as part of the possible assignment of the company, the proponent has also committed to purchase the warehouse that will remain at the time of the award for a price equal to 50% of its book value.

The arrangement plan also provides for the separate sale of the following properties (also separately from the business branch):
- Property in Nerviano, via Bergamina no. 31, appraisal price €1,223,000 (plus plants);
- Property in Bareggio, via Redipuglia no. 2, appraisal price €147,500.

In view of art. 91 CCII, for the possible opening of a competitive procedure, interested parties are invited to submit their expressions of interest in purchasing the company and/or properties to the procedure's certified email address cp1312.2023milano@pecconcordati.it by August 29, 2024, which, after issuing a confidentiality commitment letter, will make available to interested parties the telematic data room of the documentation available with reference to both the business branch and the properties.
