Invitation to express interest for the acquisition of credits and shares in Venice Ro-Port Mos S.C.P.A. (overall equal to 97% of the share capital) – New intermodal terminal of Venice
The object of the expression of interest is the purchase of the following assets, considered as a whole and indivisibly (hereinafter "Unique Lot VRPM"):
- the Mantovani Participation corresponding to n. 10,127,588 shares of VRPM, equal to 84% of the share capital of VRPM;
- the Alles Participation corresponding to n. 361,697 shares of VRPM equal to 3% of the share capital of VRPM;
- the Adria Participation corresponding to n. 1,205,588 equal to 10% of the share capital of VRPM;
- the Financial Credits of Mantovani towards VRPM;
- the Commercial Credits of Mantovani towards VRPM;
- the Current Operational Credits of Mantovani towards VRPM, as resulting from a specific balance sheet referring to the end of the month preceding the conclusion of the simplified sale procedure pursuant to art. 7.4 of the sale notice.
The share capital of VRPM is equal to Euro 7,433,108.00
with the clarification that the transfer of all assets will take place simultaneously with the completion of the sale contract, except for n. 120,567 shares held by Mantovani corresponding to 1% of the share capital of VRPM, which will be transferred within 30 days from the issuance of the certificate of testing of the mandatory works subject to the Concession, it being understood that the consideration for the transfer of this remaining participation will be included in the sale price of the UNIQUE LOT VRPM.
The expression of interest, indicating the offered price, must be received by 12:00 Italian time on 30.5.2025 and must be sent to the following certified email address: gobidreal@pec.it and, for information, cp22.2018padova@pecconcordati.it, accompanied by the transmission message ["VRPM – Expression of interest"].
The company Venice Ro-Port Mos S.c.p.a, new intermodal hub of Venice, is a port infrastructure capable of offering all general and logistical services to shipowners, freight forwarders, and passengers for their arrival in Venice and Europe. In its 32 hectares of extension, the intermodal terminal is at the forefront in integrated logistics services for managing combined traffic.
The terminal is dedicated to Ro-Ro and Ro-Pax traffic through a highly automated infrastructure.
In total, the terminal offers 250,000 square meters of backport areas, of which 165,000 square meters are dedicated to Ro-Ro/Ro-Pax activities and 85,000 square meters for Car carrier; there are also 15,000 square meters allocated for Temporary custody services and 2,400 square meters covered used for workshops and warehouses.
The berthing docks, in a water mirror of 8 hectares deep 10.5 m, can accommodate up to 4 ships simultaneously.
In a strategic position to optimize transport times and costs, the terminal, developed over 32 hectares, is active 7 days a week (24 hours a day), every day of the year and is equipped:
• with two docks;
• with 4 port berths named for ships from 210 to 245 meters in length;
• with 4 railway tracks for interconnection to the national network;
• with 250,000 sqm of areas for Schengen and non-Schengen traffic;
• with 4 entry gates and 4 exit gates with high automation.
At the service of the hub there are the following types of structures.
The first at the entrance consists of two twin buildings of two floors at the entrance, with a gross floor area of 1,085 square meters each. They house the ticket office and all the offices of the public control bodies operating in the terminal (customs offices, Guardia di Finanza, Border Police, Manager, offices of shipowners, major freight forwarders, etc.).
Another is a more technical structure, consisting of warehouses and buildings directly serving logistics and goods handling. Among these are a mechanical workshop for all urgent repairs required by vehicles in transit (by road and rail), a warehouse for the temporary custody of goods, a warehouse dedicated to terminal services, and a series of other spaces intended to support various activities.

For interested parties, access to a virtual data room ("Data Room") regulated by confidentiality rules to be signed before access, which is subject to the signing of a specific confidentiality agreement and the payment of the required security deposit, is available.
